Subject
Discussion paper and recommendation regarding commencing business activities in the Philippines

Section 1 · Purpose & strategic intent

The primary purpose of this memorandum is to define a standardised, formal operational plan for establishing robust commercial activities in the Republic of the Philippines under LNBG. This includes finalising structured intercompany financing models, setting capital deployment thresholds for verified state-backed real estate joint ventures, hospitality, logistics and mission-critical infrastructure. All initiatives outlined herein are structured to isolate systemic liabilities and optimise commercial execution, subject to definitive legal, regulatory compliance, and financial viability approvals by the Executive Ownership of LNBG.

LNBG has been presented with a highly diversified portfolio of high-value sovereign, public-private partnership (PPP), and commercial infrastructure opportunities within the Philippine jurisdiction. To protect initial capital commitments and ensure sustainable financial yields, each opportunity has been classified by asset type and assigned an estimated valuation.

Section 3 · Process

Governance before capital.

The following points need to be considered in respect of process for commencing business activities in the Philippines.

  1. 01

There needs to be an approval process to evaluate the above opportunities that gets approved by the ownership of LNBG.

  2. 02

The approval process will be delegated to Management Board Members that will evaluate project risk, legality, financial and technical evaluation. This will be carried out by approved consultants such as lawyers and accountancy practices, and any such consultant as required. These appointments will be managed by LNBG Board Member Ret Ken Acker.

  3. 03

The Evaluations Board will meet once a month to evaluate the status of the presented opportunities. A Project Lead will be appointed to manage the projects for LNBG; this person will be approved by ownership and come from within our group of companies.

  4. 04

A budget will be agreed to undertake evaluation studies that will be approved and funded by LNBG.

  5. 05

A centralised PMO will be created to monitor the status of these reports and studies. The PMO will be established within the next 6 weeks; reporting and approval process will be agreed.

  6. 06

A list of accountants and lawyers will be made, and Ken Acker and other Legal Counsel of LNBG will interview and carry out an RFP process.

  7. 07

All funds provided by the company must be routed through a KYC process, as government PPP will require this and all loan/funding agreements will require full due diligence.

  8. 08

Conclusion of Shareholder Agreements along with management appointments.

Section 4 · Cost

$100,000,000

Working fund for legal, accountancy, consultants and development management.

With the large number of potential projects and with different types, it is critical that LNBG has a working fund to cover the costs of legal, accountancy, consultants and development management. On this basis a working fund should be provided circa $100,000,000. With planned monetisation of companies such as 3PL, hospitality and the EPC company, legal search and clean establishment documents, Shareholders Agreements and loaning agreements need to be drafted and in place prior to full funding. In the interim, contracts can be made to LNBG, with legal transfer once legal matters are formalised.

Section 5 · Recommendation

Commence RFP. Seat the Board. Fund PH operations.

LNBG Management Board request permission to commence RFP for consultancy services and establishment of Management Board Members to enable evaluation of the potential projects, set up company management systems, and to have funds in the Philippines to commence business activities.
